THE FOUNDRA TAKE

Perion has announced a definitive agreement, not a completed acquisition; the equity price, cash on its balance sheet and prospective operating gains are separate matters.

The offer and the comparison date

Perion shareholders would receive $11.70 in cash per share under the definitive agreement announced on November 1. Perion’s original release puts the equity value at approximately $420 million and the premium at 34.5% over its October 30 closing share price. That historical trading date is the reference for the premium, not the publication date of the agreement announcement.

Perion’s November 1 agreement announcement identifies Affle 3iL Ltd., a subsidiary of Affle, as the acquirer. StartupTalky reported the transaction the following day. Its description of an October 30 signing conflicts with the original release, which calls October 30 the last trading day before execution; this brief follows the primary announcement rather than reproducing that secondary error.

The distinction between equity value and operating-business cost matters. The first is the headline consideration for shares. It does not, on its own, settle the eventual economic cost after considering balance-sheet assets, liabilities, expenses or the mechanics of the agreement.

Cash on the balance sheet is a different figure

Perion reports $228.3 million of cash, short-term deposits and marketable securities as of September 30. That number describes a historical balance-sheet position. It is not an additional payment to shareholders or a guarantee that precisely the same assets will be available when ownership changes.

It would therefore be misleading to subtract that snapshot from the $420 million headline and announce the result as the final purchase cost. Between the reporting date and a potential closing, the business continues to operate. The supplied release does not establish every adjustment required for a definitive net-cost calculation.

FOUNDRA EXPLAINS

Five terms that should not be combined into one price headline

01

Cash consideration

$11.70 per Perion share under the announced agreement.

02

Equity value

Approximately $420 million, as stated in the primary release.

03

Historical assets

$228.3 million cash, deposits and securities as of September 30; not a closing guarantee.

04

Alternatives

A 40-day go-shop permits solicitation; no competing proposal is claimed.

05

Completion

Early-2027 expectation, subject to shareholder approval and other conditions.

An editorial framework for understanding the trade-offs. Not company performance data.

Two clocks, with conditions attached

The agreement includes a 40-day go-shop period, during which Perion may solicit alternative proposals. That provision is a defined opportunity to seek alternatives, not evidence that another bid has arrived or that an auction has concluded. Perion’s investor press archive preserves the announcement as an agreement-stage event.

Separately, Perion expects completion in early 2027. The release identifies shareholder approval, the applicable US antitrust waiting period and other closing conditions. An expected closing window is not a guaranteed date, and entering the agreement does not itself transfer ownership.

Affle frames the transaction as strengthening its advertising business in developed markets. That is its strategic rationale, not an established integration benefit. The immediate comparison is simpler: shareholders have a disclosed cash offer; the seller has an alternatives window; completion still has conditions. Each term answers a different question, and none should be replaced by the shorthand that Affle has already acquired Perion.
